Today, October 31, 2024, the Annual General Meeting of DexTech Medical AB was held. All resolutions were passed with the required majority.<\/p>\n

Resolution on adoption of the income statement and balance sheet<\/strong><\/p>\n

The AGM resolved to adopt the presented income statement and balance sheet.<\/p>\n

Resolution regarding appropriation of the company’s result in accordance with the adopted balance sheet<\/strong><\/p>\n

The AGM resolved to allocate the company’s result in accordance with the Board of Directors’ proposal, and that no dividend be paid for the financial year 2023\/2024.<\/p>\n

Resolution on discharge from liability for the members of the Board of Directors and the CEO<\/strong><\/p>\n

The AGM resolved to discharge the members of the Board of Directors and the CEO from liability.<\/p>\n

Determination of the number of members and deputy members of the Board of Directors<\/strong><\/p>\n

The AGM resolved that the number of members of the Board of Directors shall be five members and that no deputies shall be elected.<\/p>\n

Election of Board of Directors and auditor<\/strong><\/p>\n

The AGM resolved to re-elect Andreas Segerros, Per-Olov Asplund, Peter Benson, Rolf Eriksson and Svante Wadman. Andreas Segerros was elected Chairman of the Board.<\/p>\n

KPMG AB was re-elected, with Per Hammar as auditor in charge, as auditor for the period until the end of the next Annual General Meeting.<\/p>\n

Determination of fees to be paid to the Board of directors and the auditors<\/strong><\/p>\n

It was resolved that no fees shall be paid to the Board of Directors for the period until the end of the next Annual General Meeting. It was resolved that fees to the auditor shall be paid in accordance with approved invoices.<\/p>\n
